Terms of Service

1. Who we are

mr CHUY. is operated by CLEVERALPHA, a California-based digital-first investment advisor. In these Terms, "we" means CLEVERALPHA and "you" means the individual or organization using the Service.

2. The service

mr CHUY. is a voice-first AI assistant. Features, integrations, and pricing tiers are described on our site and in-product. The Service evolves — new features ship, others change. We'll give reasonable notice before materially removing capabilities you depend on.

3. Accounts

You need an account to use most features. You are responsible for keeping your credentials secure and for activity under your account. Don't share accounts. Tell us promptly if you suspect unauthorized access.

4. Acceptable use

Don't use mr CHUY. to:

• break the law or infringe anyone's rights
• harass, threaten, or defame others
• send spam, phishing, or bulk unsolicited messages
• impersonate another person, including via voice cloning
• scrape, reverse-engineer, or resell the Service
• bypass security, rate limits, or tenant isolation
• generate content that sexually exploits minors or incites violence

4.1 Safety enforcement

mr CHUY. runs an automated moderation pipeline that classifies user turns into three severity tiers. Criminal and Soft tiers result in automatic termination at the thresholds below. Imminent triggers admin review rather than auto-termination, because those cases benefit from a human read of context.

• Criminal (planning of serious crime, threats of violence, child-safety concerns) — a second criminal-severity violation results in immediate termination without notice to the user. We do not warn before terminating in this tier. The responsible admin (see 4.2) is notified.
• Imminent (imminent self-harm with means/intent, severe substance crisis) — 2 flags within 30 days trigger admin review. In-session, mr CHUY. surfaces crisis resources immediately.
• Soft (gray-zone topics like substance use, gambling, domestic-violence cues, lower-intensity self-harm language) — a fifth soft-severity violation within 30 days results in immediate termination. You will be notified by email with instructions for appealing to support@cleveralpha.com.

We log flag metadata only — category, severity, timestamp. We do not store transcript text from flagged turns. In session, mr CHUY. surfaces help resources (988, SAMHSA, GAMBLER, DV hotline) where appropriate.

4.2 Who gets notified

Whether termination is automatic or admin-initiated, the "responsible admin" is notified. Your responsible admin depends on how you signed up:

• If your account belongs to an organization, your org admin is the responsible admin.
• If you signed up as an individual without an organization, support@cleveralpha.com acts as your admin in all cases.

For Soft-tier auto-termination and admin-initiated termination, the termination email is sent to the user and CC'd to the responsible admin. For Criminal-tier auto-termination, only the responsible admin is notified — by design, no message is sent to the user.

4.3 Appeal

You may appeal a termination by replying to the termination email (where applicable) or writing to support@cleveralpha.com. We aim to review appeals within 5 business days. Criminal-tier terminations are eligible for appeal even though no email is sent — write to support directly.

5. Your content

You keep ownership of what you dictate, upload, or otherwise submit ("Your Content"). You grant us a limited, worldwide, royalty-free license to process Your Content solely to provide and improve the Service for you. You are responsible for having the right to submit it.

6. Payment

Paid tiers are billed in advance and auto-renew unless canceled. Metered usage is billed after the fact. Taxes are extra where applicable. Refunds are handled case-by-case — email sales@cleveralpha.com.

7. Intellectual property

We own the Service, the code, the brand, and the mr CHUY. character. You may not copy, scrape, or reverse-engineer it. Feedback you send us may be used freely to improve the product.

8. Third-party services

mr CHUY. depends on third-party services including OpenAI for AI inference. Their availability, pricing, and terms are not under our control. Outages upstream may affect the Service.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. AI can make mistakes — don't rely on mr CHUY. for decisions where errors would cause material harm (medical, legal, financial, safety-critical) without human review. CLEVERALPHA does not provide personalized investment advice through mr CHUY.

10. Limitation of liability

To the maximum extent permitted by law, CLEVERALPHA is not liable for indirect, incidental, special, consequential, or punitive damages. Our aggregate liability for any claim is capped at the greater of one hundred US dollars ($100) or the amount you paid us in the 12 months before the claim.

11. Indemnification

You'll defend and indemnify us against claims arising from Your Content or your misuse of the Service.

12. Termination

Either party may terminate at any time. We may suspend accounts for material violations of these Terms. Sections that should survive termination (IP, disclaimers, liability caps, governing law) do survive.

13. Governing law

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. Disputes are resolved exclusively in the state or federal courts located in California.

14. Changes

We'll post updates to this page with a new "Last updated" date. Material changes will be announced in the app. Your continued use after changes means you accept the updated Terms.
